TERMS & CONDITIONS

Agreement: This agreement between M. Elizabeth Williams, Girl + Camera LLC (“Photographer”) and the purchaser (“Client”) governs the assignment described in the accompanying price quote, along with these Terms and Conditions, constitutes the entire agreement between the parties concerning that assignment. It is understood that this Photographer is the exclusive photographer retained to perform the photographic services and that no other camera or photographer will be permitted in the studio. Upon purchase of the model package detailed above, the Photographer shall reserve the time and date in the agreement and will not make other reservations for that time and date. For this reason, all packages are non-refundable.

Estimates: The fees quoted by the Photographer and attached to this contract are for a one-hour model or acting portfolio session, including a minimum of two clothing changes and at least one headshot, full-length on seemless, and fashion editorial-style shot. The photographer, within one week of the shoot, will provide the Client with proofs; after the Client selects his or her images, a CD of ten images will be mailed to the Client at the address provided at the time of booking. Any additional time, images for the CD, prints, or other materials or services will encour an additional fee.

Payment:  By purchasing your spot through EventBrite, you are making your payment in full at the time of booking. Walk-ins will NOT be accepted under any circumstance.

Licensing: Prints or digital images from the event are being licensed to the Client for the specific use of the Client to create a modeling or acting portfolio, headshots, and composition ("comp") cards. The images are not licensed for any other purpose or reproduction.

Copyright: It is illegal to copy or reproduce these photographs in any way other than as listed above under "licence" without the Photographer’s permission, and violators of this Federal Law will be subject to its civil and criminal penalties.

Additional Usage: If the client wishes to make any additional uses of the photographs not covered in the initial agreement, Client shall obtain permission from the Photographer and pay an additional fee to be agreed upon. The Photographer reserves the right to use negatives and/or reproductions for advertising, display, publication, or other purposes. Negatives and previews remain the exclusive property of this Photographer.

Exclusivity: The Photographer will not license the photographs to any third party without the permission of the Client. Client agrees that the Photographer will be the only Photographer used for this project.

Cancellations and Postponements: In the event of a cancellation by the Client, Client will not receive refund or reimbursement for the amount paid, and the Client will not be held responsible for any further payment. In the event of a postponement of a shoot by the Client or subject, Client shall pay a rescheduling fee $60.00.

If the Photographer cannot perform this Contract due to fire or other casualty, act of God, or other cause beyond the control of the parties, or due to the Photographer’s illness or emergency, then the Photographer shall either reschedule the date and time OR return the amount paid to reserve their time to the Client but shall have no further liability with respect to the Contract. This limitation on liability shall also apply in the event that the photographic materials are damaged in processing, lost through camera malfunction, lost in the mail, or otherwise lost or destroyed without fault on the part of the Photographer. In the event the Photographer fails to perform for any other reason, the Photographer shall not be liable for any amount in excess of the Retail Value of the Client’s order.

Indemnification: Client hereby indemnifies and holds the Photographer harmless against any and all liabilities, claims, and expenses, including reasonable attorneys fees, arising from Client’s use of Photographer’s work. The Client is aware that the color in dyes in the photographic prints may fade or discolor over time, if exposed to continuous sunlight for an extend period of time, or if exposed to moisture, due to the inherent qualities of dyes, and the Client releases the Photographer from any liability for any claims whatsoever based upon fading or discoloration due to time, moisture, or sun exposure.

Turn Around Time: Normal schedule for online proofing gallery is 7 days after completion of the assignment. There will be a $75.00 additional charge for 48 hour service, and 150.00 additional charge for 24-hour service.

Retouching: All images receive a basic retouch (simple blemishes and spots removed). Any additional retouching requested by the Client will be billed at $81.25 per hour.

Tear Sheets: Client will provide Photographer with two entire copies of any publication in which her photos appear upon publication.

Expiration: This offer expires on Thursday, November 25, 2010 at 11:59 pm. Any modeling or acting portfolio sessions booked after that time will be charged at the regular rates for the regular package.

Acceptance of Terms & Conditions and Contract for Work: This contract incorporates the entire understanding of the parties. By purchasing a session package, the parties agree to the Terms and Conditions outlined above as well as the estimate attached and acknowledge that any modifications to this contract must be in writing and signed by both parties.

All minors MUST be accompanied by an adult who has the authority to sign a printed copy of these terms and conditions on behalf of the minor.
